FOUNDING CIRCLE MEMBERSHIP TERMS

Updated October 2026

These Founding Circle Membership Terms (the “Terms”) govern membership in THE LOGGIA’s Founding Circle. By purchasing a Founding Circle membership, you agree to these Terms.

THE LOGGIA is operated by THE LOGGIA EDITIONS LLC, a limited liability company organized under the laws of the State of Florida, United States of America (“THE LOGGIA”).

§ 1. FOUNDING CIRCLE MEMBERSHIP

The Founding Circle brings together the earliest supporters of THE LOGGIA, a biannual, theme-led publication exploring the objects, materials, ideas, and traditions that shape everyday life and allow it to flourish. Conceived as a community around the publication from its beginnings, the Founding Circle offers members a closer relationship with THE LOGGIA as it develops.

Membership in the Founding Circle remains open for a limited period in advance of THE LOGGIA’s inaugural edition, intended to launch in Spring 2027. Membership is offered at US $250 per year, beginning on the date payment is processed and continuing for twelve months.

Membership automatically renews for successive twelve-month terms unless cancelled before the next renewal date. The annual membership fee for Founding Members remains fixed at US $250 for as long as membership remains continuously active. At each renewal, the US $250 annual membership fee will be charged to the payment method associated with membership.

Membership may be cancelled at any time. Cancellation will take effect at the end of the then-current membership term, with Founding Circle benefits continuing until that date.

Membership is individual and may not be transferred or resold.

All charges are in U.S. dollars. Currency conversion charges may apply.

§ 2. FOUNDING MEMBER STATUS

Individuals who join the Founding Circle during the founding period will be recognized as Founding Members of THE LOGGIA. Founding Member status is permanent and remains associated with the individual regardless of whether membership is subsequently renewed.

Founding Member status is distinct from active membership in the Founding Circle. Where membership is cancelled, the Founding Member designation is retained, but access to Founding Circle benefits ends with the conclusion of the then-current membership term.

THE LOGGIA may recognize its Founding Members in print, online, or in other materials associated with the publication. Any recognition by name is optional and subject to the Founding Member’s consent.

§ 3. FOUNDING MEMBER BENEFITS

During an active membership term, Founding Circle membership includes:

  • Advance access to each edition of THE LOGGIA ahead of its public release;

  • Member-only talks and conversations with edition contributors and invited guests;

  • Priority access and preferential pricing for THE LOGGIA’s salons;

  • A printed letter from the Editor marking each edition;

  • Occasional objects and other curiosities selected for the Founding Circle.

The Founding Circle is intended to develop alongside THE LOGGIA. Its programming, format, and benefits are therefore subject to change. THE LOGGIA reserves the right to add, modify, substitute, or discontinue benefits, while seeking to preserve the overall character and value of Founding Circle membership.

Access to salons and other events may be subject to availability, capacity, location, separate charges, or other conditions communicated at the time of invitation. Founding Circle membership grants priority access to such events but does not guarantee admission.

§ 4. PUBLICATION AND EDITORIAL DIRECTION

THE LOGGIA is intended as a biannual publication, with its inaugural edition planned for Spring 2027. Publication dates, formats, themes, contributors, and other editorial matters may change as the publication develops.

All final editorial and creative decisions remain at the discretion of THE LOGGIA. Founding Circle membership does not confer editorial, commissioning, or other decision-making rights.

§ 5. MEMBER MATERIALS AND INTELLECTUAL PROPERTY

Founding Circle members may receive editions, writings, images, recordings, correspondence, or other materials in advance of public release or exclusively as part of membership.

Unless otherwise indicated, such materials are provided for individual, non-commercial use only and may not be reproduced, distributed, sold, republished, publicly displayed, or otherwise commercially exploited without the permission of THE LOGGIA or the rights holder.

THE LOGGIA’s name, marks, visual identity, editorial materials, designs, graphics, photographs, illustrations, recordings, website content, and other creative materials are protected, as applicable, by copyright, trademark, and other intellectual property laws. Such rights are held by THE LOGGIA or, where applicable, by its contributors, licensors, or other rights holders.

Founding Circle membership does not transfer or grant any ownership or intellectual property rights in THE LOGGIA or its materials.

§ 6. CANCELLATION AND REFUNDS

Membership fees are non-refundable once membership has begun, except where required by law.

Cancellation does not result in a refund or credit for any unused portion of the then-current membership term. Founding Circle benefits will remain available through the end of that term.

Nothing in these Terms limits any cancellation, refund, or other consumer rights that cannot be lawfully excluded.

§ 7. FOUNDING CIRCLE MEMBERSHIP IS NOT AN INVESTMENT

Membership is a cultural membership in support of THE LOGGIA. It is not an investment in THE LOGGIA or its operating company.

Membership does not confer any equity or ownership interest, voting or governance rights, entitlement to profits or distributions, or other financial interest in THE LOGGIA or THE LOGGIA EDITIONS LLC.

The terms “Founding Circle” and “Founding Member” describe the relationship with the publication and do not create a partnership, joint venture, fiduciary relationship, or investment relationship.

§ 8. COMMUNICATIONS AND PERSONAL DATA

Membership in the Founding Circle includes communications relating to membership, editions, benefits, events, renewals, and other Founding Circle matters.

Personal information provided in connection with membership will be handled in accordance with THE LOGGIA’s Privacy Policy and applicable law.

Where fulfillment of a membership benefit requires additional information, such as a postal address, that information may be collected and used for that specific purpose.

§ 9. CHANGES TO THESE TERMS

THE LOGGIA may update these Terms as the publication and the Founding Circle develop.

Where a change materially affects an active membership, reasonable notice will be provided. Any changes remain subject to applicable law.

§ 10. SUSPENSION AND TERMINATION

THE LOGGIA reserves the right to suspend or terminate membership in cases of fraud, unlawful conduct, misuse of member-only materials, or material breach of these Terms.

Where reasonably practicable, notice of the grounds for suspension or termination will be provided before Founding Circle membership is terminated.

Termination under this section does not entitle the member to a refund or credit for the remaining portion of the membership term, except where required by law.

§ 11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, THE LOGGIA and THE LOGGIA EDITIONS LLC will not be liable for indirect, incidental, or consequential losses arising from or in connection with Founding Circle membership.

Nothing in these Terms excludes or limits any liability or consumer rights that cannot lawfully be excluded or limited.

§ 12. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, United States of America, except where mandatory laws applicable to a member provide otherwise.
